For over 25 years Dan has represented investors, financial services and corporate clients in complex corporate, financing and creditors’ rights matters.

Dan helps business clients find creative, practical approaches to business opportunities and challenges.  He is a “hard listener” who focuses intently on his client’s business, needs and goals. He represents companies and their financiers in all stages of the business lifecycle including startup, seed capital, series “A” and “B” financings and beyond, as well as mergers and acquisitions, succession planning and sale of the business.

Dan has documented a wide variety of financings – both unsecured and those secured by a variety of asset classes, including receivables, inventory, equipment, agricultural assets, chattel paper, mortgage and other debt portfolios and structured settlements.  These range from syndicated, unitranche and single lender loans to structured financings, factoring, and acquisition and debtor in possession financings.

His practice has included representing banks and businesses managing troubled credit including handling loan workouts and the enforcement of secured creditor remedies and other creditors’ rights matters in both bankruptcy and non-bankruptcy forums. He represents buyers, sellers and creditors in bankruptcy and UCC Article 9 sales and acquisitions. Dan has handled bankruptcy cash collateral, lien, adequate protection and inter-creditor disputes.

Dan has had speaking engagements for bar associations, continuing legal education organizations, trade associations, professional firms and clients and has been a resource for business and legal organizations and publications. The subjects include deficiencies of recent state marijuana laws for operators and their investors, investing in cannabis related companies, starting and selling a closely held business, business acquisitions and sales, perfecting liens in unusual or exotic collateral, lien perfection and priority disputes, secured party sales, agricultural liens, fraudulent transfers, bankruptcy asset sales and acquisition and lender liability.

Mandelbaum Barrett PC's Corporate Practice represented Southern Airways in connection with its recent acquisition of Mokulele Airlines, a Hawaii based airline. Also in connection with this transaction, Southern Airways raised additional capital from a national airline. The deal team on this transaction included Jeffrey Wasserman, Dan Barkin and Patrick Toolan. The newly combined entity will operate 1,380 weekly flights, more than any other commuter airline in the 50 states.
