Arla Cahill Receives Great Result for Client in a Case Involving a Corporate Officer Being Held Personally Liable for Past Company's Debts

March 5, 2019

On March 5, 2019, Mandelbaum Barrett Member Arla D. Cahill successfully defeated a plaintiff's motion for summary judgment and prevailed on a cross-motion for summary judgment that dismissed a complaint for $125,000 entirely and with prejudice in favor of the firm's client. The complaint sought to hold the client, a corporate officer, personally liable for the alleged debt of a defunct New Jersey corporation based on an unsigned credit agreement containing a joint and several liability provision that plaintiff sought to enforce under Utah law. The court rejected plaintiff's argument that use of a corporate credit card constituted an agreement by the officer to be personally liable for the company's charges. The court also found no evidence that the proffered credit agreement was the original agreement issued for the company's account or any other evidence justifying personal liability. Applying New Jersey law, the court found that, unlike Utah law, unsigned personal guarantees and unilateral, inconspicuous "bill stuffer" amendments to material terms of credit agreements are unenforceable. Because this was the second time this plaintiff filed suit against the corporate officer, the court also found that the suit was barred by New Jersey's entire controversy doctrine.

Litigation Department Obtains $6.7 Million Award On Behalf Of Client

On February 14, 2019, Michael Saffer, Co-Chair of the Firm's Litigation Department and Arla D. Cahill, a Member of that Department, obtained an award of $6.7 million in a complex commercial arbitration proceeding before the American Arbitration Association in New York City in which they represented an anesthesiology group that asserted numerous claims against a surgery center. The Arbitrator, following 10 days of hearings with numerous witnesses and hundreds of trial exhibits created by our team, awarded the entire amount requested in the Demand for Arbitration.

Craig Alexander Closes Multi Million Dollar Mortgage Loan

Craig W. Alexander, a partner in the firm's Real Estate Department, closed a million dollar mortgage loan on behalf of a prominent investor for a commercial building in Essex County, New Jersey. Mandelbaum Barrett was able to leverage its relationships to assist the client in acquiring the property in an unusual transaction commencing with the purchase of the existing debt, financed by a hard money lender introduced to the client by the firm. The client acquired title to the property after the firm structured a "deed in lieu of" transaction made possible by the firm's relationship with the lender and title company, followed by a refinancing with an institutional lender also introduced to the lender by the firm.

Mandelbaum Barrett's Personal Injury Team Recently Helped an Injured Patron Hold a Careless Bar Accountable For an On-site Stabbing

Member Joe Peters and Associate Ethan Wells earned a major victory on behalf of a client who was stabbed in a New Brunswick, New Jersey bar. The client sustained multiple traumatic injuries to his leg, abdomen, pancreas, and spleen.

Peters and Wells aggressively advocated for our client during the mediation and were able to prove that the bar in question had an obligation to provide security at its establishment in a reasonable manner. The bar also failed to successfully train and supervise its security personnel. Therefore, the bar was fully liable for plaintiff's injuries. The mediation ended when the defendant's agreed to compensate the plaintiff in full. This is just one of the many satisfying verdicts our personal injury attorneys have achieved for plaintiffs.

Mandelbaum Barrett's Real Estate Team Completes Largest Real Estate Transaction in the Firm's 89 Year History

Congratulations to Mandelbaum Barrett's Real Estate team on completing the largest real estate transaction in the Firm's 89 year history. This complicated transaction on behalf of long-time Firm client Rubenstein Properties involved the sale of a portfolio of 29 properties (located in 6 different states) having approximately 5.2 M square feet of industrial space with a purchase price of nearly $200M. Member Owen Hughes led a team of attorneys and support personnel from the real estate practice and our Environmental Group, including Member Gordon Duus, who provided assistance on environmental matters. The contract was negotiated and signed in the fall of 2018. The transaction involved complex title and survey issues, property condition diligence, tenant issues, bulk sale and environmental compliance activities and negotiation and procurement of environmental insurance. The closing stretched over 3 days during the week of January 14, 2019, including one night with Owen and Chair Barry Mandelbaum leaving the closing table at midnight. We are proud of the team effort by the members of our Real Estate and Environmental practices to ensure a successful portfolio sale for our client.

Gadhok Obtains Unanimous Jury Verdict for Plaintiff

The Firm congratulates our partner, Raj Gadhok, on securing a unanimous jury verdict for the plaintiff on counts of fraud, abuse of process, malicious prosecution and related civil claims following a six-day trial before the Superior Court of New Jersey, Morris Vicinage. The case involved a long-running dispute between family members, heirs to a multi-million dollar estate, and Mr. Gadhok obtained a compensation damages award, as well as a substantial punitive damages award, for his client. The court also granted Mr. Gadhok permission to submit an application for all legal fees and costs incurred by his client in the case which application is pending before the court at this time.
