Specifically, the seller was acquired by a national dental support organization (“DSO”) with a significant footprint throughout the east coast region. The transaction was unique in that it endured many fluid changes to the volatile DSO consolidation market. Further, the deal structure was distinctive for other reasons including (1) the fact that the sale took place in a state that does not recognize s-corporations, which led to nuanced tax considerations, and (2) the client received two forms of equity with varying economic rights at the parent company and the practice level.
